The takeover of Kering Beauté by L’Oréal, symbol of the boom in mergers in 2025

Despite a protracted political crisis around the budget and the French deficit, the year 2025 was also that of very ambitious announcements at the level of large companies. In total, the amount of operations announced in France in 2025 should be around 91 billion eurosaccording to an estimate from Bain & Company, which would mean growth of 12% in one year.

Certainly, “we are in a complicated situation”, reminds AFP Emmanuel Goldstein, general manager of the French subsidiary of the Morgan Stanley bankvery influential in the sector. But “companies do not necessarily postpone their operations”, especially if they are “strategic”, he notes, as was the sale by Kering (parent company of Gucci) of its beauty division to L’Oréal for 4 billion euros.

Other megamergers announced this year in France, that of European satellites between Airbus, Thales and Leonardo or the joint offer of 17 billion euros for the takeover of the telecom operator SFR. “It’s not a shot like in 2021, but it’s working,” comments Emmanuel Goldstein.

“Many French companies have found a healthy balance sheet and are buying”, also analyzes Arnaud Leroi, of Bain & Company.

Overseas investments

The political crisis would not, however, be without consequences. According to several experts in merger and acquisition operations, the unpredictability of the executive deters certain companies from investing in highly regulated sectors (such as energy or medical), whose profitability could be threatened by unfavorable legislative developments.

Furthermore, there is a “risk reduction movement” of French companies “towards abroad”, that is to say through the acquisition of stakes in companies outside France, observes Arnaud Leroi. Thus, at the end of November, French companies announced acquisitions of around 78 billion euros of foreign companies, compared to 41 billion euros for the acquisition of French companiesaccording to figures from Bain & Company.

And conversely, merger and acquisition operations initiated by foreign investors targeting French companies represented around 16 billion euros. “The attractiveness” of French companies for foreign investors “has not improved,” Arnaud Leroi modestly acknowledges.

Globally, 2025 was also a good year for mergers and acquisitions.

Certainly, the year has had a roller coaster ride. “The rebound at the start of the year was stopped dead by the announcement of American customs duties in the spring,” observes Céline Méchain at Goldman Sachsanother very important bank in the sector. But the restart from this summer was very conclusive, so much so that the total volume of mergers and acquisitions operations announced ($4,254 billion) at the end of November is 36% higher than that of 2024, according to the American bank.

With the two giant offers for Warner Bros at the end of the year, interest was primarily focused on the media and technology sector (21% of operations according to Goldman Sachs). This is also evidenced by the purchase of the American video game publisher Electronic Arts (EA) by a consortium of investment funds for $55 billion or SoftBank’s $30 billion investment in OpenAI.

The infrastructure and industry sectors (20% of operations) are hot on its heels, with notably, in American rail freight, the attempted takeover of Norfolk Southern by its competitor Union Pacific for $85 billion.

As for the year 2026, at the global level, it could mark a new growth in merger and acquisition operations, “as long as central banks continue to lower their interest rates” in order to facilitate financing, judges Arnaud Leroi of Bain & Company.

In a TikTok posted Thursday, December 18 and aptly captioned “flippy hair and a lip,” Bieber showed fans how she gets her new haircut so, well, flippy.

To start, the 29-year-old dried her freshly washed hair with an attachment-less Dyson Airwrap. (My favorite way to go about it!! A Supersonic is on my list this year too, girl.) Then, she grabbed her Mane Brush and began working it through her hair section by section, rolling most of her pieces toward her so her ends flipped outward when they fell. Every so often, she’d work in a flip the other way (rolled away from her, so they curved inward) to add some cool-girl coded variability.

After spraying a few products in (it’s hard to see, but I think she’s using Not Your Mother’s Clean Freak Dry Shampoo and Mane’s Cotton Candy Dry Texture Spray), she flipped her hair upside down for extra bounce and ran a “Hailey”-engraved brush through her locks. Then, she got started on the “lip” portion of her programming. The combo included her Rhode Peptide Lip Shape liner in what I’m almost certain is the neutral pink shade Lift and a top secret new clear lip product that she’s been teasing.

The artist behind the chop was celebrity hairstylist Justine Marjan, who shared a few notes on her masterpiece in the comments section of Byrdie’s Instagram.

“If you want to recreate, we did a collarbone-grazing blunt cut with slight face framing layers and point cut around the front,” the celebrity hairstylist shared.

As consumer confidence remained uneven and organic growth proved harder to sustain, mergers and acquisitions once again took centre stage in 2025, reshaping the global beauty and personal care landscape. From blockbuster transactions and founder exits to private equity-backed roll-ups and strategic divestments, the year underscored a clear reality: scale, speed and portfolio relevance matter more than ever.

At the top end of the market, strategic buyers and financial sponsors showed little hesitation when conviction was strong. Kimberly-Clark’s proposed US$48.7 billion acquisition of Kenvue stood out as one of the year’s most transformative announced deals, signalling a decisive bet on health, hygiene and personal care as long-term growth pillars. Sycamore Partners’ completed take-private of Walgreens Boots Alliance—backed by Stefano Pessina’s family—reflected similar confidence in restructuring legacy retail assets away from the scrutiny of public markets.

Beauty remained a prime hunting ground for private equity. CVC Capital’s acquisition of Korea’s Serin Company, maker of cult-favourite Dokdo Toner, for around US$600 million highlighted sustained global appetite for K-beauty platforms with international runway. Blackstone completed its US$590 million acquisition of South Korea’s leading salon chain Juno Hair, underlining investor confidence in scalable, service-led beauty platforms. DBG Group completed the full acquisition of MCoBeauty, valuing the Australian ‘dupe’ beauty brand at US$1 billion, while Bansk Group moved to acquire a majority stake in BYOMA, reinforcing belief in brands with strong community engagement and clear positioning.

Strategic buyers focused on sharpening portfolios and accelerating exposure to high-growth segments. L’Oréal was among the most active acquirers, signing deals to acquire Color Wow and a majority stake in Medik8, while also reshaping its brand mix through the sale of Carol’s Daughter to an independent beauty entrepreneur—returning leadership to founder Lisa Price. SalonCentric, a L’Oréal subsidiary, expanded its professional footprint with the acquisition of Concept JP’s operations in Quebec, including distribution rights for K18.

Unilever also leaned into premium, digitally native personal care. The group completed the acquisition of natural deodorant brand Wild and agreed to acquire Dr. Squatch, expanding its presence in high-margin, founder-led brands with strong DTC credentials. The moves signalled a strategic shift toward faster-growing, sustainability-led propositions with global potential.

Founder-driven brands were among the most sought-after assets of the year. e.l.f. Beauty’s US$1 billion acquisition of Rhode transformed Hailey Bieber’s skincare brand into a scaled prestige platform, while earlier in the year Bieber had explored strategic options for the business. Gail Federici evaluated a potential sale of Color Wow before the brand was ultimately acquired, highlighting continued demand for performance-led haircare assets. OSEA Malibu secured growth investment from General Atlantic to fund global expansion, as CAVU exited its stake.

Geographically, dealmaking highlighted beauty’s shifting centre of gravity. Asia featured prominently through transactions such as Goodai Global’s acquisition of Skinfood and Taekwang’s move to target Aekyung Industrial, while Africa drew strategic interest via Axian Telecom’s reported pursuit of Jumia, an e-commerce platform widely used by beauty and personal care brands.

Retail consolidation also gathered pace. Ulta Beauty completed its acquisition of Space NK, marking its formal entry into the UK market. Violet Grey expanded its luxury retail ambitions with the acquisition of The Detox Market, while Mitchell Family Office acquired Cos Bar to drive omni-channel growth. CVS Pharmacy agreed to acquire 64 Rite Aid stores and prescription files, pending court approval, strengthening its personal care retail footprint.

Not all deals reached completion. Frasers Group exited takeover talks with Revolution Beauty, leaving the UK cosmetics player to reassess its strategic options. Divestments also featured prominently, including Natura’s sale of Avon’s Central America and Dominican Republic operations to Grupo PDC, NEOS’ sale of INEOS Hygienics to SKG Capital Partners, and Edgewell’s agreement to divest its feminine care portfolio to Essity.
